Holding company and KIFC structures, for foreign founders
A Kigali holding that keeps its 3% rate
We test whether a Rwandan holding pays for itself, set it up as a registered investor under Law N° 006/2021 through licensed partners in Kigali, and check its substance every year it claims the reduced rate. You end up with a holding, its investment certificate, a costed substance plan and a treaty map of every flow in and out.
- A written view on whether Kigali, another hub or no holding at all fits your group
- Company and investment registration, with the substance tests budgeted from year one
- An annual review before year end and before any large distribution
Scope
What we do for you
The reduced rates belong to registered investors that meet substance conditions each year. A company that only incorporates pays 28%. Our work covers both halves.
- Hub reviewWe map dividends, interest and royalties into and out of the holding and set Rwanda against Mauritius, Kenya, the UAE route and direct ownership. If Kigali does not fit, we say so.
- Inbound leakage mapSource-country withholding on each subsidiary's dividend is usually the largest cost, and no hub removes it alone. We map it country by country.
- Treaty route reviewWe read the relevant treaty articles, including residence and main purpose tests, for the Rwanda–UAE route and Rwanda's other partners.
- Substance budgetNet assets of at least USD 1 million, USD 15,000 of annual spend in Rwanda, a physical office and at least 30% Rwandan professional staff, priced before you commit.
- Company registrationThe holding is an ordinary Rwandan isosiyete (company), with a resident director appointed by you and the beneficial ownership chain declared.
- Investment registrationWe file for the icyemezo cy'ishoramari (investment certificate): no minimum capital, USD 500 fee, decision within 2 working days.
- Fund, trust or foundation vehicleWhere a fund or family vehicle fits better, we coordinate with licensed fund service providers in Kigali and, for collective investment schemes, the CMA.
- Transfer pricing fileIntra-group loans, guarantees, fees and IP licences documented at arm's length, as the transfer pricing order requires.
- Annual substance supportBefore each year end and each large distribution, we test net assets, spend, office and staff, and keep the treaty file current.

Process
How it works
The structure review comes first and decides everything after it. Registration is the short part; substance is the part that lasts.
- Weeks 1–2, planning allowance
Structure review
We map flows, treaties, the substance budget and the questions for your home adviser, and give you a written view and a fixed quote.
- Weeks 2–5, planning allowance
Documents
Corporate shareholder documents are certified at home by apostille or legalisation and translated. UAE and German documents take longer.
- ORG, then RDB
Company and investor
Registration with the Registrar General, about six hours once the file is complete, then investment registration, decided within 2 working days.
- Year one, then annually
Substance in place
Office, Rwandan hires, bank account, board calendar and transfer pricing file, then a review before every year end.

Who stands behind the file
One adviser, a long network
The 30% Rwandan professional staff test is the one groups underestimate. A holding with one foreign director and a part-time local accountant does not meet it. Budget for a Rwandan finance manager and a legal or compliance officer before you model the 3% rate.
Voixa Rwanda is a brand of Voixa Consultors S.L. in Barcelona. Our founder, Alexander Baranov, has worked on cross-border tax structuring for more than 15 years and founded BCA Unternehmensberatung in 2011; the BCA network covers more than 40 jurisdictions, including Luxembourg, Bahrain and Singapore. Local filings in Kigali go through licensed partners in Rwanda, and we advise in English and Russian.
An honest comparison
Doing it yourself, or with us
A holding is easy to register and easy to get wrong. The risk sits in the years after registration.
| Task | On your own | With Voixa |
|---|---|---|
| Choosing the seat | Headline rates in Kigali, Port Louis and Nairobi look similar and hide different conditions. | A side-by-side view for your flows, including when no holding is the better answer. |
| Registered investor status | Many founders incorporate and assume the 3% rate follows. It does not. | Investment registration filed with the activity that matches the regime. |
| Substance tests | Net assets, spend, office and staff are tested every year; one resignation or distribution can cost the rate. | Costed in advance and reviewed before year end and before distributions. |
| Treaty claims | Rate tables omit residence, beneficial ownership and main purpose tests, and the certificate timing. | We read the treaty text and keep the residence certificate and ownership file on record. |
| Transfer pricing | Loans, fees and licences to and from a low-taxed entity draw attention under the 15% threshold. | A transfer pricing file prepared with the first intra-group payment. |
| Home-country rules | Controlled foreign company rules may attribute 3% income back to the owners. | We coordinate with your home adviser before the rate is modelled. |
Run the numbers on the worst year, not the best. A structure that saves tax on a large exit but costs real money in salaries, rent and audit for ten quiet years may not pay for itself. Put both columns on the same page before you incorporate.

A qualifying Rwandan holding applies 0% withholding to its own dividends, interest and royalties under the investment law, so the treaty rates matter most for ordinary operating companies and for income coming into the holding. The 13 treaties in force and the ones signed but not yet usable are listed in Rwanda's double tax treaties.

Questions
What groups ask before they commit
What will it cost?
Our fee is fixed and quoted in writing within 2 working days, separately for the structure review, the set-up and the annual substance support. Government fees are small: company registration has no fee and investment registration costs USD 500. The real cost of a holding is its substance, which we price in the review.
Is there a minimum investment?
Investment registration has no minimum capital. The 3% rate for holdings and SPVs requires net assets of at least USD 1 million and the other substance tests. The 0% regional office rate is linked by RDB to at least USD 10 million invested.
How long does set-up take?
Registration takes about six hours once the file is complete, and RDB decides on investment registration within 2 working days. Allow several weeks before that for the review and certified documents, and the first year to put the office and staff in place.
Do we need to be in Kigali?
Someone must be. The company needs at least one director resident in Rwanda, and the 3% rate needs a physical office and Rwandan professional staff. Board meetings with local participants are part of what makes the structure defensible.
What could take the rate away?
A distribution that takes net assets below USD 1 million, a local professional who resigns, or a lapsed office lease can put the rate at risk for the year. Transfer pricing and your home country's CFC rules are the other two exposures. That is why the annual review exists.
Is KIFC a free zone?
No. KIFC is a programme promoted by Rwanda Finance Ltd. The holding is an ordinary Rwandan company, and the reduced rates come from Law N° 006/2021.
What if Rwanda is the wrong seat?
Then the review says so. For a family with one or two African subsidiaries, a direct holding is often simpler. Where Mauritius or Kenya fits better, we coordinate with licensed advisers there and handle only the Rwandan side.
Can we work in Russian?
Yes. Advice is in English or Russian. Rwandan filings and corporate documents are in English.
