Rwanda Structure Review, for foreign founders
Rwanda Structure Review: a written recommendation before you commit
We review your plan for Rwanda and set out, in writing, the structure we recommend, the tax route, the document chain, the resident director, permits, budget categories and timeline. You hold one document you can take to your board, your bank and your home tax adviser before anything is signed or paid in Kigali.
- A recommended vehicle, with the alternatives we rejected and why
- The tax route from Rwanda to your country, treaty or no treaty
- A realistic timeline and the budget categories to plan for
Scope
What we do for you
The review answers the questions that decide whether Rwanda works for your plan, in the order a bank or an investor will ask them.
- Choose the vehicleLaw N° 007/2021 offers seven corporate forms, plus a branch or country representative of a foreign company. We recommend one and explain why the others do not fit.
- Map the tax routeCorporate income tax at 28%, or an incentive rate where your activity qualifies: 15% for qualifying exporters and certain sectors on conditions, 3% for pure holdings and SPVs that meet the substance tests. We say which applies and what it requires.
- Check the treaty positionWithholding is 15% by default. Rwanda has 13 treaties in force, including the UAE (7.5% on dividends), Mauritius and Luxembourg (10%). Germany, Spain, the UK, Italy, Switzerland and Russia have no treaty with Rwanda, and the France treaty of 2023 is not yet in force. See Rwanda's double tax treaties.
- Flag home-country rulesControlled foreign company tests, such as Germany's 15% low-tax threshold, and foreign tax credit limits, such as Art. 232(1) of the Russian Tax Code. We name the question for your home adviser and coordinate with them.
- Plan the documents routeApostille for most Convention countries; legalisation for Germany, the UAE and Qatar. We list which documents each shareholder layer needs.
- Solve the resident directorA private company needs at least one director resident in Rwanda (Arts. 7(4) and 157). We never provide nominee directors. We describe how a resident professional is introduced through our partners and appointed by your shareholders.
- Set the permit routeInvestor permit in the sector class of your business, from RWF 150,000 for up to two years, or H1 and H2 employment permits for hired staff.
- List the budget categoriesGovernment fees, home-country notary and translation costs, the resident director, office and staff for substance, accounting and our fixed fees. No guesses dressed as totals.
- Build the timelineFrom documents at home to registration, investment certificate, bank and permit, with official times shown separately from planning allowances.

Process
How it works
Four steps from your first message to a written recommendation. Timings are our planning allowances; we state the delivery date in the quote.
- Within 2 working days
Fixed quote
You describe the activity, the shareholders and where they live, and your timing. We reply with the scope of the review and a fixed fee in writing.
- Allow about 1 week
Written questions
We send a short questionnaire: ownership chart, expected flows, staff, customers, banks and your home adviser's contact. Clear answers keep the review short.
- Allow 1 to 2 weeks
Analysis
We test the options against company, tax, investment and immigration law, and against your home-country rules with your adviser.
- Delivered in writing
Recommendation
One document with the structure, tax route, documents, people, budget categories and timeline. Follow-up questions on it are answered in writing.

Who stands behind it
Cross-border experience, applied to Rwanda
Voixa Rwanda is a brand of Voixa Consultors S.L., Barcelona. Its founder, Alexander Baranov, has worked on cross-border company and tax structures for more than 15 years, across a network that includes Germany, Spain, Luxembourg, Bahrain and Singapore. That matters here, because most Rwandan structures are decided as much by the founder's home country as by Kigali. Advice is in English and Russian.
Two questions move signing dates more than any other: who the resident director will be, and whether the 3% holding rate is realistic. The 30% Rwandan professional staff test decides most Kigali holdings, and a structure with one expatriate director and an outsourced bookkeeper does not meet it. We answer both before you budget for anything else.
Compare
Doing it yourself, or with us
The facts are public. Combining them for your case, across two or three countries, is the hard part.
| Task | On your own | With Voixa |
|---|---|---|
| Choosing a vehicle | Guides list the forms; few say which one a Rwandan bank and your home tax office will read well. | One recommendation with reasons, and the options rejected. |
| Incentive rates | The 3% and 15% rates are easy to read and easy to over-apply; conditions sit in several laws. | Each condition tested against your figures, with what must be in place in year one. |
| Treaty and home-country tax | A Rwandan saving can disappear under CFC rules or a missing foreign tax credit at home. | The home-country question framed in writing for your adviser. |
| Documents route | Germany's objection and the UAE's non-membership catch out founders who expect an apostille. | Route per document and country, with planning allowances. |
| Resident director | Often left until after registration, when the file cannot complete without it. | Introduction route set out before signing; no nominees. |
| Budget and timeline | Government steps are short, so the time spent abroad is underestimated. | Official times and planning allowances shown side by side. |

Fit
Who this is for
Three illustrative profiles. Each one needs a different answer, which is why we write the review before quoting a formation.
A family office choosing an African holding seat
Rwanda, Mauritius or Kenya, compared on inbound leakage, tax in the hub, outbound dividends and substance. Sometimes the answer is no African holding at all.

FAQ
Questions before you sign
What does the review cost?
The fee is fixed and quoted in writing within two working days, based on the number of shareholders, countries and activities involved. If you go ahead with a formation package with us, the review fee is credited against it. That is our policy for every review.
How long does it take?
We plan one to two weeks of analysis after your answers to the questionnaire arrive. The quote states the delivery date. Plans involving several home countries or a fund take longer, and the quote says so.
Do I need to travel or join meetings?
No. The review runs on written questions and a written answer. Visa on arrival is available to all nationalities when you do visit, and our licensed partners in Kigali handle local steps later.
What if the review says Rwanda is the wrong place?
Then it says so in writing, with the reason. We advise on Rwanda, and where Mauritius, Kenya or no African entity fits better, we write that too. You keep the document and owe nothing more.
Is the review tax advice in my home country?
No. It covers Rwandan law in full and names the home-country questions, such as CFC rules or foreign tax credits, that your adviser must answer. We coordinate with them, and the recommendation is final only once they confirm.
What documents do you need?
An ownership chart, a short description of the activity and expected flows, the countries where shareholders and directors live, and your timing. Certified documents come later, once the structure is agreed.
Can you provide the resident director?
We never provide nominee directors or shareholders. The review describes how an experienced resident professional is introduced through our licensed partners and appointed by your shareholders under a service agreement.
What happens after I receive it?
You decide. If you proceed, the review becomes the brief for the formation: documents, registration with the Registrar General, the investment certificate at RDB and permits, at a fixed fee with the review credited.
