About us
European advice, Rwandan filings
Voixa Rwanda helps founders and groups from Europe, the Gulf and the CIS set up and run companies in Rwanda. You deal with one adviser, in English or Russian, from the first question to the first tax return. Filings in Kigali are made through licensed partners in Rwanda, and every rule we rely on is cited by law and article.
Who we are
A European firm that works in Rwanda
Voixa Rwanda is the Rwanda practice of Voixa Consultors S.L., a company registered in Barcelona under CIF B24744351. We advise foreign founders, family businesses and corporate groups who want to set up, invest or operate in Rwanda. Our clients come mainly from the European Union, the United Kingdom, Switzerland, the Gulf states and the Russian-speaking countries of the CIS.
We built the practice around a simple observation. Rwanda's rules are clear and published. Company registration is online and free, incentive rates are written into law, and the authorities publish service times. What a European founder lacks is rarely access to the rules. It is a reliable reading of them, in a familiar format, from someone who also understands the founder's home country, its tax residence rules, its document formalities and its banks.
The founders we work with tend to fall into four groups. European owner-managers who want a base for East African customers. Gulf-based groups that want a regional office or holding with real staff in Kigali. Russian-speaking and CIS entrepreneurs who need an English-speaking jurisdiction with clear rules and a European adviser who speaks their language. And investors who want to live in Rwanda and run a business there on an investor permit. Each group brings different documents, different banks and different home-country rules, and our process is built to handle that variety.
That is the work we do. We read Rwandan law against your plan, tell you what applies and what does not, prepare the file in your country so it is certified once, and coordinate the filings in Kigali through licensed partners. The advice comes from us. The filings are made by professionals licensed in Rwanda.
The network
Three brands, one standard
Voixa Rwanda belongs to a small group of practices that share a founder, a method and the same rules on fees and sources.

The corporate services and legal advisory group founded by Alexander Baranov, working in Germany, Spain, Portugal, Austria, Italy, Luxembourg, Bahrain, Singapore and beyond.
Ask about another country →The network matters to a Rwanda client for a practical reason. A Rwandan company rarely stands alone. It is owned by a German GmbH, a Spanish S.L., a Luxembourg holding or a Dubai free zone company, and its profits travel back through that chain. A change in Kigali often has a consequence in the parent's country: a board resolution that needs a notary, a dividend that meets a treaty, a controlled foreign company rule that looks at the Rwandan tax rate. Having the parent's jurisdiction in the same network means those questions are asked at the start.
We are careful about what the network does and does not mean. Each brand advises on its own jurisdiction. Where a question belongs to a country outside our group, we say so and refer you to a specialist there.
Founder
Alexander Baranov
Alexander has worked in international law and cross-border business for more than fifteen years. He founded BCA Unternehmensberatung in 2011. BCA Group now advises on company formation, tax structuring and corporate documentation across more than 40 jurisdictions, including Germany, Spain, Portugal, Austria, Italy, Luxembourg, Bahrain and Singapore.
He writes regularly for Russian professional publications on international tax and cross-border structuring, and leads the Voixa brands in Spain, Korea and Rwanda. He works in English and Russian.
His work has always sat between jurisdictions: a founder in one country, a company in another, a bank in a third. Rwanda fits that pattern. Most of the questions a European founder asks about Kigali are really questions about how two systems meet, and that is where his experience is most useful.
How we work
Four rules we keep
- A fixed fee, in writingAgreed before work starts. Government fees, notary and translation costs shown separately. No hourly billing on formation work.
- A recommendation before paymentWe tell you which structure fits, and when Rwanda does not fit your plan.
- Sources for every numberLaws by number and article, rates by source and date. If a rule is uncertain, we say what is certain.
- One adviserFrom the first question to the first tax return, the same person knows your file.
Fixed fees
Formation, investment registration, permits and first-year compliance are priced as fixed fees, quoted in writing after we understand the structure. The quote names what is included, what is not, and which costs are paid to authorities or third parties. Government fees are passed through at cost. The registry charges no fee to register a company; the investment certificate costs USD 500; investor permits cost RWF 150,000. Notary, apostille and translation costs arise in your own country and depend on the documents. Our pricing page explains the structure of our fees.
Sources
Every rule we rely on is tied to its source. On this site you will see laws by number and date, articles where the article matters, and a source line under every block that states a number. We use the Official Gazette, the Office of the Registrar General, the Rwanda Development Board, the Rwanda Revenue Authority, the National Bank of Rwanda and the immigration directorate as primary sources, and published guides from international accounting and law firms as secondary sources. When a primary source and a secondary source disagree, we follow the primary source and say so.
One adviser
You will not be passed between departments. One adviser holds the file from the first call, coordinates the Kigali filings, answers questions on the first VAT return and prepares you for the first annual return. If the adviser is away, a named colleague with access to the file covers.
English and Russian
We work in English and Russian. Documents for Rwandan authorities are prepared in English, which is an official language of Rwanda and the language in which company files are processed. Where a founder needs to understand a Rwandan document in Russian, we explain it in Russian. Certified translations for filings are made by certified translators.
A first call is most useful when it starts with a one-page ownership chart and a paragraph on where the customers are. Those two items decide the structure, and the structure decides almost everything after it.
Government fees: RDB, investment registration (USD 500); DGIE, business investor permits (RWF 150,000); ORG via Cliffe Dekker Hofmeyr (no registration fee); accessed October 2026.

Bank, investment certificate, permits, and the monthly and annual compliance calendar.
Timelines are planning ranges. Authority targets: Office of the Registrar General (six hours for a complete registration); Law N° 006/2021, Art. 18 (two working days for investment registration).
Local work
How filings in Kigali are made
We do not have an office in Kigali. Filings with Rwandan authorities, appearances where an authority asks for one, and services that Rwandan law reserves to locally licensed professionals are carried out by licensed partners in Kigali. We select them for their licences, their record with the registry and the tax authority, and their ability to work to our standards on documents and deadlines.
The division of work is clear. We advise you, prepare the file and supervise the timeline. Our partners file with the Office of the Registrar General through the RDB portal, register with the Rwanda Revenue Authority and the Rwanda Social Security Board, and submit applications to RDB and the immigration directorate through Irembo. Where you need a resident director, they introduce resident professionals, and your company appoints one under a written service agreement. You see who files what and when. Engagement letters set out who is responsible for each part.
Most work happens in the City of Kigali, Umujyi wa Kigali (City of Kigali). Company offices sit in one of its three districts, each an akarere (district), and local formalities such as trading licences are handled at the district or at the umurenge (sector).

Umuganda (monthly community work) takes place on the last Saturday morning of each month, roughly 8:00 to 11:00, and most businesses and traffic pause. We avoid booking meetings or deliveries for clients on that morning.
Why Rwanda now
The case we make to clients
We chose to build a Rwanda practice because the country's rules suit the clients we already serve. Real GDP grew 8.9% in 2024 and 9.4% in 2025. Rwanda scores 58/100 on the Corruption Perceptions Index 2025, 41st of 182 countries and joint third in Africa. Registration is online and free. Corporate tax is 28%, with published reduced rates for registered investors who build real operations.
The timing matters too. The Apostille Convention has applied in Rwanda since 5 June 2024, which shortens document preparation for most countries. Germany objected to Rwanda’s accession, so German documents are still legalised. The companies law was rewritten in 2021 and updated in 2023 on beneficial ownership. The income tax, VAT and investment laws were all revised between 2021 and 2025. A founder entering now works under a recent, coherent set of rules.
We are also clear about the constraints. The domestic market is small, local sales are in Rwandan francs, every company needs a resident director, and the low tax rates require substance. These points decide whether Rwanda fits. Explaining them precisely is part of our job.
Our Rwanda in figures brief sets out the numbers and the constraints in full, with a comparison against Kenya and Mauritius.

Principles
What we do not do
These are fixed rules. They protect you, your bank relationship and your company's standing with Rwandan authorities.
- No nominee shareholder schemesShareholders are the real owners or are disclosed as holding for the real owners. Beneficial owners with 25% or more are declared to the Registrar General, as Art. 116 of Law N° 007/2021 requires.
- No nominee directorsWe never act as nominee director. A resident professional we introduce through our partners is appointed by your company, works under a written service agreement and owes the duties of a director. The role is real.
- No structures built to evade taxWe plan within the law: reduced rates where the conditions are met, treaties where they apply, substance where the law asks for it.
- Full identity and source-of-funds checksWe verify every client and beneficial owner before work starts, under the anti-money laundering rules that apply to us in Spain and to our partners in Rwanda.
- No promises on outcomes we do not controlWe do not promise a bank account by a date, a permit by a date, or a tax result before the facts are known.
- No invented credentialsNo testimonials we cannot show, no case counts, no awards. The site's content is our credential.
As a Spanish company that provides company formation and corporate services, Voixa Consultors S.L. is an obliged person under Spain's anti-money laundering law, Ley 10/2010 of 28/04/2010. That law requires us to identify clients and beneficial owners, understand the purpose of the relationship and the source of funds, and keep records. Our partners in Rwanda apply Rwandan anti-money laundering rules and the know-your-customer requirements of the National Bank of Rwanda. In practice this means we ask for passports, proof of address, an ownership chart and an explanation of where the money comes from before we start. Banks will ask the same questions later, so the work is not wasted.
Personal data is processed under the EU General Data Protection Regulation and, for data handled in Rwanda, under Law N° 058/2021 of 13/10/2021 on the protection of personal data and privacy. Our privacy notice explains how.
Banks in Kigali and Europe ask the same first question: who is at the top of the chain and where did the money come from. A file that answers both before the bank asks moves faster everywhere.

Editorial standards
How we write the Insights section
The Insights section is where we publish country briefs, guides and explanations of new rules. It follows the same standards as our advice.
- Primary sources first. Laws are cited by number and date from the Official Gazette. Rates and procedures come from the authority that sets them: the Registrar General, RDB, RRA, BNR, DGIE.
- Dated. Every article shows the month it was last reviewed. Rates and thresholds carry the date of their source.
- Nothing invented. We do not describe client cases, real or composite. Examples are labelled as illustrative and built only from published rules.
- Uncertainty stated. Where a rule is new and practice has not settled, we describe what is certain and say that we confirm the rest for each file.
- Constraints included. A page on a benefit also states the conditions and costs that come with it.
- Corrections. When a law changes or we find an error, we update the page and its review date. Readers who spot an error can write to us through the contact page.
- No paid placements. We do not accept payment for mentions of banks, partners or service providers.
Articles are written or reviewed by Alexander Baranov. Insights are general information, not advice for a specific situation. A fixed-fee engagement is where we apply the rules to your facts.
