Documents required
What to prepare at home
Most of the time in a Rwandan registration goes into documents from your own country. The filing in Kigali is quick once the file is complete. This page is the list we send every client: each document, who issues it, how it is certified, when it needs a translation, how fresh it must be and how to sign it without flying to Kigali.
The principle
Why documents decide the timetable
Rwanda registers companies online. The Office of the Registrar General (ORG), part of the Rwanda Development Board (RDB), issues a company registration within 6 hours once the application is complete, with no government fee, and the tax identification number and RSSB social security registration come with it. The word that matters is complete. Every document that comes from abroad must arrive in the right form, signed by the right people, certified the right way and translated where needed.
For a Rwandan private company, the Registrar needs to know who the shareholders are, who the directors are and who ultimately owns and controls the company. For a branch, it needs proof that the foreign parent exists and has decided to open in Rwanda. Banks, the Rwanda Revenue Authority and the immigration service (DGIE) ask for many of the same documents again, sometimes in a fresher version.
The lists below separate individual founders from corporate shareholders, then explain certification, translation, validity and signing, and finish with country notes and the reasons documents are sent back.

Individual shareholders and directors
If you invest in your own name
- Passport copyClear colour copy of the data page for every shareholder and director. We recommend at least six months of validity left, because permits and banks look at the expiry date.
- Proof of addressRecent utility bill or bank statement. The Registrar rarely needs it; the bank almost always does.
- Director consentSigned consent to act as director. We prepare it in English.
- Power of attorneySo our licensed partners in Kigali can file and sign on your behalf. Notarised, and apostilled or legalised depending on your country.
- Beneficial ownership declarationEvery shareholder declares beneficial owners under Art. 116 of Law N° 007/2021. We prepare it from your answers.
- Resident director detailsAt least one director must be resident in Rwanda (Arts. 7(4) and 157). We collect the resident director’s ID and consent locally.
- CV and source of funds noteNot needed for registration, but asked by banks and for investor permits. Better written once, early.

Corporate shareholders
If a company invests
- Certificate of incorporation or register extractCertified, and apostilled or legalised. We ask for an extract issued within the last three months.
- Articles of associationCertified copy of the current consolidated version.
- Board resolutionApproving the investment and appointing a representative to sign for the shareholder. An original, signed before the notarising authority.
- Register of shareholders and directorsOr an official extract showing them. Where the register is not public, a certificate of incumbency or a notarised extract.
- Ultimate beneficial ownersEvery natural person with 25% or more of shares or votes, with passport copies and a chart of the chain.
- Recent financial statementsNot for the Registrar; banks and RDB investment registration often ask for them.
Sources: ORG requirements for corporate shareholders; Cliffe Dekker Hofmeyr, Africa corporate guide, Rwanda; ORG beneficial ownership guidelines, March 2023 (25% threshold; changes notified within 14 days).
Draw the ownership chart before you order any document. Every company in the chain between you and the Rwandan entity may need its own certified extract, and finding a fourth layer after the apostilles have come back costs a second round of certification.

Certification
Apostille, notarisation and legalisation
Notarisation
A notary confirms a signature, or confirms that a copy matches an original. Rwanda’s published requirements accept notarisation abroad by a notary public, by a Rwandan embassy, or by the Ministry of Foreign Affairs of the country concerned. Resolutions and powers of attorney are signed in front of the notary, so the notary attests the signature itself.
Apostille
The apostille is a single certificate, attached by a designated authority in the issuing country, that confirms the origin of a public document. Rwanda acceded to the Hague Apostille Convention on 06/10/2023 and the Convention entered into force for Rwanda on 05/06/2024. For incoming documents from another contracting state, the apostille replaces embassy legalisation. For Rwandan documents going abroad, the Ministry of Foreign Affairs and International Cooperation (MINAFFET) issues apostilles through IremboGov, the government services portal.
Legalisation
Where the Convention does not apply between Rwanda and your country, documents go through the classic chain: certification by the competent authority at home, often the foreign ministry, then legalisation by the Rwandan embassy accredited to your country. This takes longer and depends on embassy appointments.
Two exceptions that matter
Germany lodged an objection to Rwanda’s accession on 28/03/2024 under Art. 12(2) of the Convention. While that objection stands, the Convention does not operate between Germany and Rwanda, and German documents need legalisation. Our guide for German founders sets out the chain step by step. The United Arab Emirates is not a party to the Convention at all. Kenya, Uganda, Tanzania and Qatar are also not listed as parties.
Sources: HCCH, Apostille Convention status table (accessed October 2026): Rwanda accession 06/10/2023, entry into force 05/06/2024; objection by Germany 28/03/2024, the only objection recorded by the depositary (Netherlands Treaty Database); UAE, Kenya, Uganda, Tanzania and Qatar not listed; MINAFFET, Rwanda and the Apostille Convention; ORG business registration requirements.
Country notes
What changes with your country
The core documents are the same everywhere. The issuing authority, the certification route and the translation step are not.
| Country | Route | Typical corporate documents | Notes |
|---|---|---|---|
| Germany | Legalisation | Handelsregisterauszug, Gesellschaftsvertrag, Gesellschafterliste | Objection to Rwanda’s accession. Pre-certification by the competent German authority, then the Embassy of Rwanda in Berlin. Certified English translation. |
| Spain | Apostille | Certificación del Registro Mercantil, escritura de constitución, estatutos | Notarial documents apostilled through the notarial system. Certified English translation. |
| Italy | Apostille | Visura camerale, atto costitutivo, statuto | Notarial acts apostilled by the Procura della Repubblica; administrative documents by the Prefettura. Certified English translation. |
| France | Apostille | Extrait Kbis, statuts, procès-verbal | Apostilles issued through the regional councils of notaries since the 2024 reform. French documents: we confirm with the Registrar whether translation is required. |
| United Kingdom | Apostille | Certificate of incorporation, articles, register of members, PSC details | FCDO Legalisation Office. English, so no translation. Companies House documents are often certified electronically; we confirm the accepted form. |
| Switzerland | Apostille | Handelsregisterauszug, Statuten | Apostille by the cantonal State Chancellery; federal documents by the Federal Chancellery. Certified English translation of German, French or Italian documents. |
| United Arab Emirates | Legalisation | Trade licence, memorandum of association, certificate of incumbency (free zones) | Not a Convention party. Notarisation, attestation by the UAE Ministry of Foreign Affairs, then the Rwandan embassy accredited to the UAE. Arabic documents need translation. |
| Russia | Apostille | Выписка из ЕГРЮЛ (EGRUL extract), устав (charter), протокол или решение | Notarised copies apostilled by the Ministry of Justice system. Certified English translation of every page, including stamps. |
| Kazakhstan | Apostille | Certificate of state registration, charter, decision of the founder | Electronic register extracts are printed and notarised in paper form before the apostille. Certified English translation. |
Sources: HCCH Apostille Convention status table, competent authorities (accessed October 2026); MINAFFET; GTAI, Recht kompakt Ruanda (2023) for the translation requirement. Competent authorities differ by document type; we send you the exact route for each document before you start.
Translate after certifying, not before. The translator needs to render the apostille or legalisation stamps too. A translation of the bare document, done to save time, is usually sent back because the stamps on the certified original are not covered.
Your country in focus
Three routes in more detail
From Germany
German founders are surprised most often. Both countries appear in the Apostille Convention’s status table, yet the German objection of 28/03/2024 means the Convention does not apply between them. A German register extract or a notarised resolution therefore goes through pre-certification by the competent German authority and then legalisation at the Embassy of Rwanda in Berlin. The translation into English is done from the fully certified document. We check the status table before each German file, because objections can be withdrawn.
From the UAE
Gulf-based groups face the full legalisation chain, because the UAE is not a party to the Convention. Mainland and free zone companies hold different documents: free zone authorities often issue a certificate of incumbency listing directors and shareholders, which helps with beneficial ownership. Plan the legalisation steps in sequence, since each authority looks for the stamp of the previous one.
From Russia and Kazakhstan
Both countries are Convention parties, so the apostille route applies. The work is in the translation: register extracts, charters and decisions are long and densely stamped, and every page needs a certified English version. Names must be transliterated exactly as in the passport. A director called Aleksandr in the passport and Alexander in the translation of the charter is a rejection waiting to happen.
From Southern Europe
Spain, Italy and France all apostille, through notarial or judicial channels depending on the document. Founders often have a notarial deed for company formation, which is a public document suitable for apostille. Private documents, such as an internal register of shareholders, need a notary’s certification first.
Ask for two certified sets at the same time: one for the Registrar, one for the bank. Banks in Kigali run their own due diligence and rarely work from the copy already filed. Ordering both sets together saves a second round with the notary, the apostille office and the translator.

Language
Translations that are accepted
Rwanda has four official languages: Kinyarwanda, English, French and Swahili. Registration and banking in Kigali run largely in English. Documents in another language need a certified translation into English.
- Use a sworn or certified translator recognised in your country, or a translator whose signature a notary certifies.
- Translate the whole document, including apostilles, stamps, seals and marginal notes.
- Keep names, dates and registration numbers identical to the original and the passport.
- Bind the translation to the certified original, or have the translator reference it unambiguously.
Documents in French are a special case because French is an official language of Rwanda. We confirm with the Registrar, before you order translations, whether your French documents need one.
Sources: GTAI, Recht kompakt Ruanda, Gesellschaftsrecht (2023): documents not in English need a certified translation; ORG requirements; Constitution of the Republic of Rwanda, official languages.
Signing
How to sign without flying to Kigali
- Step 1
We draft
Resolutions, powers of attorney and consents in English, with your names exactly as in passports.
- Step 2
You sign at home
Before a notary in your country, or at a Rwandan embassy where one is accessible.
- Step 3
Certify and translate
Apostille or legalisation, then certified translation of the whole set.
- Step 4
Scan, then courier
We check scans before the originals travel to our licensed partners in Kigali.
If you plan to visit Rwanda anyway, some documents can be signed there. Visa on arrival is available to all nationalities, and citizens of Commonwealth, Francophonie and African Union member states pay no visa fee for a 30-day stay. Plan meetings around umuganda (monthly community work) on the last Saturday morning of each month, when most businesses pause.
Sources: ORG requirements on notarisation abroad; DGIE, visa on arrival policy since 01/01/2018 (migration.gov.rw).
Have the notary write the signatory’s capacity on the attestation, for example “director, acting for the company”. Without it, the Registrar can ask whether the person had authority to sign, which means another certified document from home.
Rejections
Why documents come back
- Expired or stale extractThe register extract was issued months before filing, or the bank applies a stricter window than the Registrar.
- Wrong certification routeAn apostille on a German document, or a UAE document without the Rwandan embassy’s legalisation.
- Name mismatchTransliteration differs between passport, articles and translation.
- Copy where an original is requiredA scanned resolution instead of the original signed before the notary.
- Partial translationStamps, apostille or annex left untranslated.
- Missing layer of ownershipAn intermediate holding company without its own certified extract.
- Signatory without authorityThe resolution is signed by a person the articles do not empower.
Send scans of everything before the originals leave your country. Ten minutes of checking against the list above saves a courier round trip and, where certification has to be repeated, several weeks.
Keep the resolution short. One page that approves the Rwandan investment and names the representative is easier to certify, cheaper to translate and harder to reject than a ten-page board minute with unrelated items.

Questions
What founders ask about documents
Do I need to travel to Rwanda to register?
No. You sign before a notary at home, the documents are certified and translated, and our licensed partners in Kigali file with a power of attorney. A visit helps later, for the bank and if you apply for a permit.
Is an apostille enough for my documents?
For most European countries, Russia, Kazakhstan, Switzerland and the UK, yes, subject to our confirmation of the accepted form. Germany is the main exception, because of its objection to Rwanda’s accession. UAE documents need legalisation.
How old can my register extract be?
We ask for extracts issued within the last three months. Banks usually apply a similar window, so a fresh extract avoids ordering a second one later.
Do I need translations if my documents are in French?
French is an official language of Rwanda. We confirm with the Registrar before you order translations whether your French documents need one.
Can I use electronic signatures?
Resolutions and powers of attorney that go through apostille or legalisation are signed in front of a notary. We confirm case by case whether a document may be signed electronically.
What if my company has several layers of ownership?
Each corporate layer may need its own certified extract, up to the natural persons who own or control 25% or more. Draw the chart first and we tell you which layers need full certification.
Can the resident director sign in Kigali?
Yes. The resident director signs consents locally, which avoids foreign certification for those documents.
