A UAE holding over a Rwandan company: the 7.5% route explained

Rwanda withholds 15% on dividends paid abroad. Under its tax treaty with the United Arab Emirates, the rate falls to 7.5%, and interest, royalties and management fees fall to 10%. The UAE then taxes qualifying foreign dividends at 0% and does not withhold on the way out. The route is real and it is lawful. It also has conditions on both ends: a UAE company that is genuinely managed in the UAE, a residence certificate filed with every Rwandan withholding return, and a document chain that runs through the Rwandan embassy in Abu Dhabi. This article sets out each condition, with a worked example and an honest view of who should not use it.

Key takeaways

  1. The Rwanda–UAE agreement on the avoidance of double taxation was signed on 01/11/2017 and entered into force on 04/12/2019. Under Art. 31, withholding at the treaty rates applies to amounts paid or credited from 1 January of the year of entry into force, so from 01/01/2019.
  2. Treaty rates on payments from Rwanda to a UAE beneficial owner: 7.5% on dividends, 10% on interest, 10% on royalties and 10% on management or professional fees. The domestic rate on all four is 15%.
  3. A UAE company is a treaty resident only if its place of effective management is in the UAE. An individual qualifies only as a UAE national with the required presence. A European living in Dubai cannot use the treaty in his own name.
  4. Each of the four income articles contains a main purpose test. Rwanda has not signed the OECD multilateral instrument, so these clauses in the treaty itself are the anti-abuse rules that apply.
  5. Rwanda's Law N° 020/2023 on tax procedures, Art. 22, requires the payer to file a tax residency certificate for the payee with the withholding return. The UAE Federal Tax Authority issues it for one 12-month period at a time.
  6. In the UAE, dividends from a Rwandan subsidiary taxed at 28% usually qualify for the participation exemption under Federal Decree-Law No. 47 of 2022. The UAE withholds 0% when its holding pays out.
  7. The saving is 7.5% of the profit distributed. It pays for a real UAE company with real management. It does not pay for a letterbox, and a letterbox would not pass the treaty tests.

Why the UAE route comes up so often

Founders who own a Rwandan company from abroad meet the 15% withholding tax the first time the company pays a dividend. Rwanda's treaty network is short. Germany, Spain, France, Italy, the United Kingdom, Switzerland and Russia are not on it, so shareholders resident there bear the full domestic rate. The UAE treaty halves it. For a group that already runs its Middle East or Africa business from Dubai or Abu Dhabi, the UAE company is the natural owner of the Rwandan isosiyete (company).

The commercial ties make the structure easy to explain. The Embassy of Rwanda in the UAE reports that trade between the two countries exceeded USD 1.5 billion in 2024, up from about USD 100 million in 2012, and that the Rwanda Development Board (RDB) recorded USD 138.2 million of UAE investment in 2023. The two states have also signed an agreement on the promotion and protection of investments and an air services agreement. A Gulf holding above a Kigali subsidiary is an ordinary sight at RDB and at the Rwanda Revenue Authority (RRA).

The route is also misunderstood. It is sometimes sold as a free zone licence plus a treaty certificate. Under the treaty text, residence depends on where the company is effectively managed. Under the UAE's own rules, the 0% free zone rate depends on substance and audited accounts. Under Rwandan procedure, the treaty rate depends on a certificate filed at the right moment. Each of those conditions is manageable. None of them is automatic.

The treaty in brief

The full title is the Agreement between the Government of the Republic of Rwanda and the Government of the United Arab Emirates for the avoidance of double taxation and the prevention of fiscal evasion with respect to taxes on income. It was signed on 1 November 2017. According to the UAE Ministry of Finance, as reported by Orbitax, it entered into force on 4 December 2019. Under Art. 31, withholding taxes are covered for amounts paid or credited on or after 1 January of the year in which the agreement enters into force, which means payments from 1 January 2019 onwards. The English text prevails over the Arabic if the two diverge.

The income articles that matter for a holding are short. Art. 11 caps Rwandan tax on dividends at 7.5% of the gross amount if the beneficial owner is a UAE resident. Art. 12 caps interest at 10%. Art. 13 caps royalties at 10%. Art. 14 is a separate article on management or professional fees, defined as payments for technical, managerial, professional or consultancy services other than to an employee, and caps them at 10%. Many treaties have no such article, so the fee would fall under business profits. This one gives Rwanda a right to tax fees at source, at a capped rate.

Art. 15 deals with capital gains. Rwanda may tax gains from shares in a Rwandan resident company (para. 5) and from shares that derive more than half of their value from Rwandan immovable property (para. 4). Listed shares are carved out of both paragraphs. A UAE holding that sells its Rwandan subsidiary therefore stays within Rwanda's capital gains tax.

Art. 24 uses the credit method on both sides. Art. 29 exempts dividends, interest and fees paid to each state's government and listed public bodies; the UAE list includes the Abu Dhabi Investment Authority and Mubadala Investment Company. Art. 32 allows either state to terminate after five years by notice given by 30 June.

Read the treaty from the published text, not from a rate table. The tables show 7.5% and 10%. They do not show that residence depends on effective management, or that each income article carries its own main purpose test. Those two lines decide most RRA queries about the UAE route.

Who counts as a UAE resident under the treaty

Art. 5 of the treaty is unusual and decisive. For the UAE, a resident individual is a UAE national with a substantial presence, permanent home or habitual abode in the UAE, whose personal and economic relations are closer to the UAE than to any other state. A resident company is one whose place of effective management is in the UAE.

Two consequences follow. First, an expatriate individual living in Dubai, however long he has lived there, does not fall under the UAE definition in Art. 5. If he holds the Rwandan shares personally, Rwanda withholds 15%. The treaty only helps him through a UAE company.

Second, incorporation in the UAE is not enough for the company. The UAE's domestic rule in Cabinet Decision No. 85 of 2022 treats a company incorporated or formed in the UAE as a tax resident, and the Federal Tax Authority (FTA) issues certificates on that basis. The treaty asks a different question: where the key management and commercial decisions are actually taken. A UAE company whose only director lives in Munich or Moscow and signs everything there has its effective management outside the UAE. That company may hold a UAE certificate and still fail the treaty test, and the owner's home country may treat it as resident there.

The anti-abuse clauses

Each of Arts. 11, 12, 13 and 14 ends with the same kind of sentence: no relief is available if it was the main purpose, or one of the main purposes, of any person concerned with the creation or assignment of the shares, debt, rights or contract giving rise to the payment to take advantage of the article. In practical terms the RRA may ask why the UAE company sits where it does, and the answer has to be something other than the 7.5%.

There is no separate limitation-of-benefits article. The OECD multilateral instrument (MLI) does not change this treaty either. The UAE signed the MLI on 27 June 2018 and it entered into force for the UAE on 1 September 2019, but Rwanda is not among the signatories or parties on the OECD's list dated 11 December 2025. A treaty is only modified by the MLI if both states have adopted it. The main purpose clauses written into the treaty itself are what applies.

Rwandan domestic law adds its own layer. The general anti-abuse rule in Art. 68 of Law N° 027/2022 on income tax allows the RRA to disregard arrangements without commercial substance or with tax as their main purpose. Ministerial Order N° 003/26/10/TC on transfer pricing brings transactions with entities in regimes taxed at 15% or less under the transfer pricing rules, even between unrelated parties. A UAE company taxed at 9%, or at 0% in a free zone, is inside that net.

The treaty does not change the 28%. Corporate income tax in Rwanda is charged before any dividend exists. The treaty only reduces the tax on what leaves the country. Our withholding page sets the UAE row next to Rwanda's other fifteen treaties.

Rwandan side

What the Kigali company must do

The treaty rate is applied by the Rwandan payer, not claimed later by the UAE holding. The paperwork sits with the subsidiary.

File the certificate with the return

Law N° 020/2023 on tax procedures, gazetted on 31 March 2023, introduced a clear rule in Art. 22. A taxpayer who pays a resident of a treaty country must submit, with the withholding tax declaration, a tax residency certificate for the payee issued by the competent authority of the other state. For the UAE that authority is the FTA. Without the certificate, the payer has no basis for the 7.5% or 10%, and the safe course is to withhold 15%.

Withholding tax is remitted within 15 days after the end of the month of payment, through the RRA's systems. The certificate therefore needs to exist, cover the right period and name Rwanda before the dividend is declared and paid.

Keep the beneficial ownership file

The treaty rates apply only if the UAE company is the beneficial owner. In an audit, which can reach five years back, the RRA looks at whether the holding can decide what to do with the money it receives, or must pass it straight on. Board minutes in the UAE, a UAE bank account into which the dividend is paid, and a holding that keeps or reinvests part of its income all support the position.

Price intra-group payments

Interest on a shareholder loan and fees for management services both bear 10% under the treaty. Both must also be at arm's length under the transfer pricing order, and the UAE company counts as a low-tax entity for that purpose. The deduction for management fees paid by the Rwandan company is capped at 2% of turnover. A fee above the cap still bears withholding tax in full, while part of it is added back to taxable profit.

Mind the investment regime

A Rwandan company registered with RDB as a pure holding, SPV or collective investment scheme pays 3% corporate tax and 0% withholding on its distributions. Under the icyemezo cy'ishoramari (investment certificate) the treaty rate matters little. An ordinary operating company at 28% or a priority-sector company at 15% still withholds on dividends, and that is where the UAE route earns its keep.

Sources: EY, "Rwanda gazettes new Tax Procedures Law" (Law N° 020/2023, Arts. 22 and 97); PwC Worldwide Tax Summaries, Rwanda, withholding taxes, tax administration and incentives (reviewed September 2026); Ministerial Order N° 003/26/10/TC on transfer pricing; Law N° 006/2021 of 05/02/2021 on investment promotion and facilitation.

Order the UAE residency certificate before the board in Kigali declares the dividend. The most common reason a treaty rate is lost is timing: the dividend is paid in March, the certificate arrives in May, and the return for March has already gone in at 15%.

UAE side

How the UAE taxes the holding

The UAE introduced federal corporate tax for financial years starting on or after 1 June 2023. A holding receiving Rwandan dividends now has a tax position in both countries.

Corporate tax at 9%

Federal Decree-Law No. 47 of 2022 on the taxation of corporations and businesses charges 0% on taxable income up to AED 375,000 and 9% above it. The UAE applies 0% withholding tax to UAE-source income paid to non-residents, so a dividend from the UAE holding to its owner leaves the UAE without tax. Groups with consolidated revenue of EUR 750 million or more in two of the previous four years also face a 15% domestic minimum top-up tax for financial years starting on or after 1 January 2025.

The participation exemption

Art. 23 of the Decree-Law exempts dividends and gains from a qualifying participation. As summarised by Afridi & Angell and PwC Middle East, the conditions are: an ownership interest of at least 5%, or an acquisition cost of at least AED 4 million; held, or intended to be held, for an uninterrupted 12 months; a participation subject to corporate tax or a similar tax at a statutory rate of at least 9%; an entitlement to a share of profits and liquidation proceeds; and no more than 50% of the participation's assets made up of interests that would not themselves qualify. Ministerial Decision No. 302 of 2024 replaced Ministerial Decision No. 116 of 2023 for tax periods starting on or after 1 January 2025, and frames the foreign tax test by reference to the statutory rate. As of October 2026 the rates of 0% up to AED 375,000 and 9% above are unchanged.

A Rwandan operating company taxed at 28% meets the 9% test comfortably. A Rwandan company on the 15% priority-sector rate also clears it. A Rwandan holding on the 3% incentive rate, or a company in a tax holiday, raises a real question under the subject-to-tax condition, and we confirm the UAE treatment for that structure with UAE advisers before relying on it. For a 3% company the Rwandan side already gives 0% withholding, so the UAE layer may add little.

Free zones and qualifying income

A Qualifying Free Zone Person pays 0% on qualifying income and 9% on the rest. The conditions include adequate substance in the free zone, qualifying income, no election for the regular regime, compliance with transfer pricing rules, a de minimis limit on non-qualifying revenue of 5% of total revenue or AED 5 million, whichever is lower, and audited financial statements. The list of qualifying activities in the ministerial decision includes holding of shares and other securities, headquarter services to related parties, and treasury and financing services to related parties. Exceeding the de minimis limit costs the status for the current and the following four tax periods.

For a pure dividend holding, the free zone often adds less than expected, because a mainland company can usually exempt the same dividend under Art. 23. The free zone becomes relevant when the UAE company also earns fees or interest from Rwanda, which do not benefit from the participation exemption. We confirm the qualifying status of each income line with your UAE adviser.

Economic substance rules were withdrawn

The UAE's separate economic substance regulations no longer apply for financial years ending after 31 December 2022, under Cabinet Decision No. 98 of 2024. That does not reduce the substance a treaty claim needs. Effective management under Art. 5 of the treaty, and adequate substance for free zone status, are tested on their own terms.

Ask your UAE auditor to test the participation exemption on the Rwandan subsidiary in the first year, not when the first large dividend arrives. The asset test and the subject-to-tax test look through to the Rwandan company's own position, which only the Kigali accounts can show.

Certificate

Getting the UAE tax residency certificate

The certificate is the single document the Rwandan payer needs on file. The FTA issues it online through EmaraTax.

The FTA issues tax residency certificates for treaty purposes to legal persons on request. The applicant chooses the treaty country first, so the certificate is requested for Rwanda specifically. It covers a tax period, or another 12-month period the applicant selects, and cannot cover a future period. The FTA's service page asks that the company has been incorporated or established for at least 12 months. A legal person can apply three months into the period, or at any time after it ends.

The documents listed for a treaty certificate are a valid licence and lease, the certificate of incorporation, the corporate tax registration number where available, a certified memorandum of association, the authorised signatory's Emirates ID and passport with proof of authority, and evidence of effective management and control in the UAE where applicable. Requirements may vary by treaty.

Fees are set in dirhams: AED 50 to submit, AED 500 for an electronic certificate for a company with a corporate tax registration number, AED 1,750 for a company without one, and AED 250 for each hard copy. The stated processing time is 10 business days for the electronic certificate.

A new UAE holding cannot produce a certificate on its first day. If the Rwandan company will pay a dividend soon after the restructuring, plan the date of the share transfer and the date of the dividend together, or the first distribution goes out at 15%.

What the route saves at three profit levels

Calculation by Voixa Rwanda using rates from PwC Worldwide Tax Summaries, Rwanda (reviewed September 2026) and Art. 11 of the Rwanda–UAE treaty. Illustrative only. UAE tax is assumed nil under the participation exemption; tax in the owner's own country is excluded.

The saving is always 7.5% of the profit distributed, or 5.4% of the Rwandan taxable profit when everything is paid out. The rest of the arithmetic follows from that. At USD 100,000 of profit, USD 5,400 a year does not fund a UAE company with an office, a resident manager, an audit and a certificate. At USD 2 million, USD 108,000 a year does, if the UAE company has a business reason to exist beyond the treaty.

Other flows add to the picture. A shareholder loan of USD 1 million at 8% produces USD 80,000 of interest a year. Rwanda withholds USD 12,000 at 15%, or USD 8,000 under the treaty. A management fee charged by the UAE company bears 10% instead of 15%, within the 2% of turnover deduction cap. In the UAE, that interest and fee income is not covered by the participation exemption, so it is taxed at 9% above the AED 375,000 band unless it is qualifying income of a free zone person.

On a sale of the Rwandan company, the treaty does not help. Art. 15(5) leaves Rwanda's 10% capital gains tax in place, unless the Rwandan company holds an investment certificate that brings the exemption for registered investors. The UAE side may exempt the gain under the participation exemption.

Put the cost of the UAE company on the same page as the saving. Licence, office, staff, audit, certificate and board travel are annual costs. The treaty saving depends on dividends, which a growing Rwandan company may not pay for several years.

Comparison

UAE holding or direct ownership by a European individual

Most founders who ask about the UAE route are individuals resident in Europe. The comparison starts with them.

European Union Direct holding from Europe

A founder resident in Germany, Spain, France or Italy who owns the Rwandan shares personally receives dividends net of 15% Rwandan withholding, because none of those countries has a treaty with Rwanda. He then declares the dividend at home. Whether his own country gives credit for the Rwandan tax without a treaty depends on domestic law, and it is a point for his home adviser.

The structure has one company, one set of accounts and one board. Documents come from one European country, usually with an apostille. Banks in Kigali see an individual owner they can identify quickly.

United Arab Emirates Through a UAE company

The same founder places a UAE company between himself and Kigali. Rwanda withholds 7.5%. The UAE exempts the dividend and pays it on at 0%. The saving holds only if the UAE company is effectively managed in the UAE. If the founder still lives in Europe and takes the decisions there, the treaty test under Art. 5 is at risk and his home country may treat the UAE company as resident at home, or tax its income under controlled foreign company rules.

The UAE route therefore fits founders who actually live in the UAE or groups with real management there. It fits a European resident who wants to stay European far less well.

By founder country

How your home country changes the route

The Rwandan and UAE layers are the same for everyone. The owner's own country decides whether the structure holds.

United Arab EmiratesUnited Arab EmiratesRwandaRwanda

Founders living in the UAE. This is the case the treaty was written for, with one caveat. A UAE national can use the treaty personally. An expatriate resident cannot, under Art. 5, and needs the UAE company. A founder who lives in Dubai and runs the company from there meets the effective management test naturally. Keep his decisions documented in the UAE and the file is straightforward.

GermanyGermanyRwandaRwanda

Germany. Rwanda has no treaty with Germany, so a German resident owner bears 15% on a direct holding. The Germany–UAE treaty of 1 July 2010 ended on 31 December 2021, after Germany told the UAE in June 2021 that it would not extend it. A German resident who owns a UAE company faces German rules on where the company is managed and on controlled foreign companies, whose low-tax threshold has been 15% since 2024. A UAE company taxed at 9% or 0% is below it. The route works for Germans who have genuinely moved to the UAE, and rarely for those who have not. German documents also need legalisation for Rwanda, as explained in our guide for German founders.

RussiaRussiaRwandaRwanda

Russia. Rwanda has no treaty with Russia, so a Russian resident holding directly bears 15%. Russia and the UAE signed a new comprehensive treaty on 17 February 2025, replacing the 2011 agreement that covered mainly the public sector. Russia ratified it in July 2025. It entered into force on 18 July 2025 and applies from 1 January 2026: to withholding taxes on amounts paid from that date, and to other taxes for periods starting on or after it. The UAE withholds 0% on dividends in any case, so for a Russian resident owner the decisive questions are Russian rules on controlled foreign companies and on where the UAE company is managed. Many Russian-speaking founders already live in Dubai; for them the analysis is the UAE case above.

KazakhstanKazakhstanRwandaRwanda

Kazakhstan. Kazakhstan is not among Rwanda's treaty partners, so a direct holding bears 15%. Kazakhstan and the UAE have a treaty in force since 27 November 2013, applying generally from 1 January 2014. As with Russia, the UAE's 0% withholding means the question for a Kazakh resident owner is how Kazakhstan taxes the UAE company and its distributions at home. We coordinate with your Kazakh adviser on that point.

Before you build the UAE layer, ask your home adviser one question in writing: where will my country say this UAE company is managed, and will it tax its income in my hands? If the answer is uncertain, the 7.5% saving is not worth the risk it creates at home.

Documents

The legalisation chain for UAE documents

The UAE is not a party to the Apostille Convention. Every UAE corporate document used in Kigali goes through full legalisation.

  1. Step 1

Issue or notarise in the UAE

Trade licence, memorandum and register extract from the licensing authority, or resolutions signed before a notary. Free zones often issue a certificate of incumbency.

  2. Step 2

    UAE Ministry of Foreign Affairs

The ministry attests the document, which is the UAE's equivalent of the foreign ministry step in the classic chain.

  3. Step 3

    Embassy of Rwanda

Rwanda's resident embassy is in Abu Dhabi, with a consulate in Dubai. Legalisation is requested through IremboGov.

  4. Step 4

    Translate and file

Arabic documents get a certified English translation of the whole legalised set. Our licensed partners in Kigali then file.

The UAE company's documents are needed twice. They support the share transfer or the new registration at the Office of the Registrar General (ORG), where the UAE company appears as shareholder and its beneficial owners are declared at the 25% threshold. They are needed again by the Rwandan bank, which will ask for the parent's licence, constitution and register of shareholders, and often for the certificate of incumbency.

IremboGov handles the Rwandan legalisation of foreign public documents from countries outside the Apostille Convention. It states a fee of USD 15 and a processing time of 3 days, and requires the documents to be legalised first by the foreign ministry of the country concerned. The UAE attestation step is priced and run by the UAE authorities on their own timetable.

Legalise two sets at once: one for the Registrar and one for the bank. A Kigali bank rarely accepts the copy already filed with the ORG, and a second pass through UAE attestation and the embassy can cost several weeks.

Geography

Where the two ends of the structure sit

The structure works only if people actually sit in the UAE and in Kigali. These are the places involved.

Rwanda Kicukiro District, KigaliKanombe airportRwandAir flies to Dubai; the 2026 schedule has varied between routings via Doha and separate Dubai flights.
Rwanda CorridorsMombasa and Dar es SalaamSea freight from Jebel Ali reaches Kigali by road on the Northern and Central Corridors.
ClocksUTC+4 and UTC+2The UAE is two hours ahead of Kigali, so most of the two working days overlap.

The Rwandan subsidiary is tied to an akarere (district) of the Umujyi wa Kigali (City of Kigali) by its registered address. A UAE board that visits Kigali should avoid the last Saturday morning of the month, when umuganda (monthly community work) pauses most business and traffic. RwandAir connects Kigali and Dubai on its 2026 schedule. Check the routing when you book, because the Doha stop has come and gone during 2026.

Questions

What founders ask about the UAE route

Is the Rwanda–UAE treaty actually in force?

Yes. It was signed on 1 November 2017 and entered into force on 4 December 2019, according to the UAE Ministry of Finance. Under Art. 31, treaty rates apply to payments made from 1 January 2019, the start of the year of entry into force.

I live in Dubai. Can I receive Rwandan dividends at 7.5% personally?

Not unless you are a UAE national. Art. 5 of the treaty defines a UAE resident individual by reference to UAE nationality. Expatriate residents use the treaty through a UAE company that is effectively managed in the UAE.

Is a free zone company enough for the treaty rate?

A free zone company can be a treaty resident if its place of effective management is in the UAE and it is the beneficial owner of the dividend. The licence alone proves neither. The 0% free zone rate is a separate question with its own conditions.

Will the UAE tax the dividend from Rwanda?

Usually not. A dividend from a Rwandan company taxed at 28% normally qualifies for the participation exemption if the UAE company holds at least 5% for 12 months and the other conditions are met. Interest and fees from Rwanda are not covered by that exemption.

What happens if the certificate is missing when the dividend is paid?

Art. 22 of Law N° 020/2023 requires the certificate to be filed with the withholding return. Without it the payer should withhold 15%. Plan the certificate before the dividend, not after.

Does the MLI add a principal purpose test to this treaty?

No. Rwanda has not signed the multilateral instrument, so it does not modify the treaty. The treaty already contains main purpose tests in its dividend, interest, royalty and fee articles, and those apply.

Does the treaty remove Rwandan capital gains tax on a sale?

No. Art. 15(5) lets Rwanda tax gains on shares of a Rwandan company. The domestic rate is 10%, with an exemption for registered investors.

Can Voixa set up the UAE company?

Our practice is Rwanda. We handle the Rwandan subsidiary, the treaty file on the Rwandan side and the filings through licensed partners in Kigali, and we coordinate with your UAE advisers on the UAE company, its management and its certificate.

Is the UAE route better than a Kigali holding at 3%?

They solve different problems. A Kigali holding at 3% pays 0% on its distributions but needs substance in Rwanda. The UAE route keeps the operating company at 28% and reduces withholding to 7.5%. Our hub comparison sets out when each fits.

Next step

If the UAE route fits your group

When the numbers and the management facts support the UAE route, the work on the Rwandan side is precise and repeatable: the share register and beneficial ownership filing at the ORG, the legalised UAE documents, the dividend resolution in Kigali, the withholding return with the certificate attached, and a transfer pricing file for any loan or fee. Our VAT and withholding page covers the monthly mechanics, and our holding and KIFC page covers the alternative of a Kigali holding. Fees are fixed and quoted in writing; the pricing page explains how we scope the work.

When the numbers do not support it, we say so on the first call. Send us the group chart, where the UAE company is managed and the profit you expect from Rwanda through the contact page.
