Rwanda Kigali International Financial Centre

Holdings, funds and regional headquarters

Rwanda’s investment law gives registered holding companies, special purpose vehicles, collective investment schemes and regional offices a reduced corporate tax rate and 0% withholding tax, provided they have real substance in Kigali. We set up the structure, file the investment registration through licensed partners in Kigali and check each year that the structure still meets the conditions for its rate.

The idea

Why groups look at Kigali

The Kigali International Financial Centre (KIFC) is Rwanda’s programme to host holding companies, funds and regional headquarters. Its tax rates sit in the investment law, and its vehicles sit in a set of laws passed in 2021.

KIFC is promoted by Rwanda Finance Ltd, a government-owned company. It is a framework, not a separate territory: a holding company in KIFC is an ordinary Rwandan company, registered with the Office of the Registrar General (ORG), which then registers as an investor with the Rwanda Development Board (RDB) and meets the substance conditions attached to its rate.

Three things make the offer coherent. First, reduced rates in Law N° 006/2021 of 05/02/2021 on investment promotion and facilitation, administered through investment registration. Second, a modern set of vehicle laws, including Law N° 062/2021 on collective investment schemes, Law N° 063/2021 on trusts and Law N° 059/2021 on foundations, all dated 14/10/2021. Third, Rwanda’s position inside the East African Community and the African Continental Free Trade Area, with a treaty network that reaches the Gulf, Luxembourg, Belgium, Mauritius and Singapore.

The offer also has limits. The rates depend on substance that costs money every year. The treaty network is short. Rwandan rules on transfer pricing and your home country’s anti-avoidance rules both look at low-taxed entities. This page sets out the rates, the vehicles, the conditions and the risks in that order.

Registered investors are also exempt from capital gains tax.

Registered investor is the key phrase. The reduced rates belong to investors registered with RDB under Law N° 006/2021. A company that only incorporates pays 28%. Investment registration has no minimum capital, a USD 500 fee paid to a commercial bank after the acceptance letter, and RDB decides within 2 working days under Art. 18. See investment certificate.

Substance

What it takes to keep the 3% rate

The tests below come from the investment law as summarised by PwC. They are annual conditions, not entry tickets.

  • Net assets of at least USD 1 millionFor holding companies and special purpose vehicles.
  • Annual operating spend in Rwanda of at least USD 15,000Rent, salaries and local services count.
  • A physical office in RwandaA registered address alone does not qualify.
  • Rwandan professional staffAt least 30% of professional staff, under the conditions summarised by PwC.
  • Trading companiesTurnover of at least USD 10 million from foreign-sourced trading.
  • IP companiesAnnual spend in Rwanda of at least USD 10,000.

The 30% Rwandan professional staff test is the one groups underestimate. A holding with one foreign director and a part-time local accountant does not meet it. Budget for real Rwandan professionals, such as a finance manager and a legal or compliance officer, from the first year.

Legal basis

The laws behind KIFC

Investment law

Law N° 006/2021 of 05/02/2021 on investment promotion and facilitation sets the incentive rates, including the 3% and 0% regimes. It replaced the 2015 investment law. Art. 12 guarantees repatriation, after tax, of capital, profits, loan principal and interest, and liquidation proceeds. Art. 18 gives RDB 2 working days to decide on investment registration.

Collective investment schemes

Law N° 062/2021 of 14/10/2021 replaced Law N° 40/2011. It recognises four forms of scheme: the unit trust scheme, created by trust deed between operator and trustee, without legal personality; the investment company scheme, with fixed or variable capital or as a protected cell company; the partnership scheme, normally a limited partnership; and the contractual scheme between operator and depositary. Each must be approved by the capital market regulator. The law also covers recognition of schemes established outside Rwanda (Art. 23) and licensing of operators, managers, trustees, depositaries and custodians.

Trusts

Law N° 063/2021 of 14/10/2021 governing trusts lets a natural person or a corporation act as trustee. Professional trustees and trust service providers are licensed (Art. 38): by the Capital Markets Authority for trusts within capital market laws, otherwise by the National Bank of Rwanda (Art. 3). Trust instruments and trust property are registered (Art. 34), and beneficial owners are recorded with the Registrar General (Art. 85). A trust may last up to 99 years (Art. 17).

Foundations

Law N° 059/2021 of 14/10/2021 governing foundations creates a separate legal person with a charter, a council and, where relevant, a guardian. Its name ends with “Foundation”. It acquires legal personality on registration. Foundations formed abroad can extend activities to Rwanda or re-domicile there.

Companies

Holding companies and SPVs are formed under Law N° 007/2021 of 05/02/2021 governing companies, as amended by Law N° 019/2023. Beneficial owners holding 25% or more of shares or votes are declared to the Registrar General; changes are notified within 14 days.

Funds

Licensing with the Capital Markets Authority

When a licence is needed

A fund that is a collective investment scheme needs a CMA licence or an exemption. The CMA also licenses fund managers and custodians, approves changes to fund agreements and receives annual activity reports. The Registrar General registers the vehicle itself, whether company, partnership, trust or foundation.

KIFC states that the CMA issues licences within 30 days of a complete application. For regulated funds, KIFC also states that the manager and the custodian must be domiciled in Rwanda and licensed by the CMA, and that a Rwanda-based custodian is required.

Treaties

Where Rwanda’s treaties reach

Outbound payments from a qualifying KIFC entity carry 0% WHT under the investment law. Treaties still matter for income coming into the Rwandan holding and for entities outside the reduced regime.

Rates as PwC publishes them; split rates depend on conditions in each treaty, and every treaty sets conditions for the reduced rate. Germany, Spain, the UK, France, Italy, Switzerland and Russia are not on the list.

Read the treaty from both ends. A Rwandan holding that receives dividends from a Kenyan or Ugandan subsidiary is taxed at source under that country’s domestic law and its own treaties, which may not include Rwanda. We map source-country withholding on every inbound flow before recommending Kigali as the holding seat.

Use cases

Three typical profiles

Generic profiles to show how the rules combine. Your facts will differ.

Isosiyete

Kenya Uganda East African regional holding

A group with operating companies in several EAC states centralises ownership, regional management and financing in Kigali. It registers as an investor, builds a small professional team, and uses the 3% regime for holding income and 0% on outward dividends. The test is whether source countries’ withholding on dividends into Rwanda leaves a real gain.

Ishoramari

United Arab Emirates Gulf group entering Africa

A UAE-based group sets up a Rwandan holding for African acquisitions. The Rwanda–UAE treaty gives 7.5% on dividends and 10% on interest and royalties where the reduced regime does not apply. A regional office with at least USD 10m invested may reach 0% CIT. UAE documents need full legalisation, so the timetable starts early.

Amasezerano

Luxembourg Belgium European family holding

A European family uses a Rwandan foundation or holding for African assets. The 3% rate interacts with the family’s home-country controlled foreign company rules, which may attribute low-taxed income back to them. A Luxembourg or Belgian holding above the Rwandan entity brings treaty access; we coordinate with the home adviser.

People

A tax point for the team you relocate

Foreign experts who move to Rwanda to work for a KIFC-licensed entity are exempt from personal income tax on their foreign-source income for five years. Rwandan employment income is still taxed under the usual monthly PAYE bands, from 0% up to RWF 60,000 to 30% above RWF 200,000, and RSSB contributions apply to foreign staff on the same basis as to Rwandans.

Relocated staff need permits. Investor permits are issued by sector category, such as W1 for IT and Z1 for other sectors, at RWF 150,000 for up to two years; employees use H1 or H2 employment permits. The investment registration certificate for USD 250,000 invested also allows the recruitment of three foreign employees without a labour-market test.

Sources: PwC Worldwide Tax Summaries, Rwanda, individual taxes on personal income (reviewed 2026); RRA PAYE bands; DGIE, migration.gov.rw; Fragomen on H1/H2 permits; RDB investment registration (rdb.rw).

Hire the Rwandan professionals early and let the expatriate team arrive second. It meets the staff test, it is what DGIE expects to see in a permit file, and it gives the board meetings in Kigali real local participants.

Risks

What can take the rate away

Substance slips

The substance tests are measured continuously. Net assets fall below USD 1 million after a distribution, a local professional resigns, the office lease lapses: any of these can put the 3% rate at risk for the year. We review the tests before each year end and before any large distribution.

Transfer pricing

Ministerial Order N° 003/26/10/TC on transfer pricing requires arm’s-length pricing between related parties and uses a 15% threshold to identify low-tax jurisdictions. It also provides for advance pricing agreements. Intra-group loans, guarantees, management fees and IP licences to and from a KIFC entity need documentation that explains the price. The corporate income tax return is filed with transfer pricing documentation.

Home-country rules

Many countries tax low-taxed foreign subsidiaries in the hands of their parent or controlling individuals under controlled foreign company rules. A 3% Rwandan rate is low by any standard. Groups with consolidated revenue of EUR 750 million or more also need to look at global minimum tax rules. Neither question is answered in Kigali; we coordinate with your home adviser.

Currency and pricing

Domestic transactions are in Rwandan francs under BNR Regulation 42/2022 as amended by Regulation 89/2025. A holding company mostly moves money across borders, which runs through authorised banks, but its local costs, rent and salaries are paid in RWF.

Changing law

Income tax law has been amended twice since 2022: Law N° 051/2023 lowered CIT to 28%, and Law N° 014/2025 raised capital gains tax to 10%. Incentive regimes can change too. Registered investors should keep their investment certificate current and watch for amendments.

Key takeaways

  1. The 3% and 0% rates belong to registered investors under Law N° 006/2021, not to every Rwandan company.
  2. Substance means USD 1m net assets, USD 15,000 local spend, an office and at least 30% Rwandan professional staff for holdings and SPVs.
  3. Funds use the vehicles of Laws N° 062/2021, 063/2021 and 059/2021 and are licensed by the CMA where they are collective investment schemes.
  4. Rwanda has 17 treaty partners in PwC’s table; most European founder countries are not among them.
  5. Transfer pricing and home-country CFC rules decide whether the structure works overall.

Questions

What groups ask first

Is KIFC a free zone with its own law?

No. KIFC is a programme promoted by Rwanda Finance Ltd. Entities are ordinary Rwandan companies, funds, trusts or foundations under Rwandan law, and the reduced rates come from Law N° 006/2021.

Can a holding company have only a foreign director?

No. A Rwandan private company needs at least one director resident in Rwanda under Arts. 7(4) and 157 of Law N° 007/2021, and the substance tests expect real local management.

Do dividends paid by a KIFC holding carry withholding tax?

Qualifying holdings, SPVs and collective investment schemes pay 0% withholding tax on dividends, interest and royalties under the investment law, provided they meet the substance conditions.

What is the minimum investment for the 3% rate?

There is no minimum investment for registration. The 3% rate for holdings and SPVs requires net assets of at least USD 1 million and the other substance tests. The 0% regional office rate is linked by RDB to at least USD 10 million invested.

Can a fund be set up as a limited partnership?

Yes. Law N° 062/2021 provides for a partnership scheme, normally a limited partnership, and KIFC describes partnerships as tax-transparent.

Do relocated managers pay Rwandan tax on their foreign income?

Foreign experts relocating to work for a KIFC-licensed entity are exempt from personal income tax on foreign-source income for five years. Rwandan salary is taxed through PAYE.

Can an existing foreign fund move to Rwanda?

Law N° 062/2021 provides for recognition of schemes established outside Rwanda, and Law N° 059/2021 lets foreign foundations re-domicile. We confirm the route for your vehicle with the CMA or the Registrar General.
